UVODNE ODREDBE

Ovi opći uvjeti poslovanja (dalje u tekstu: Opći uvjeti) odnose se na ugovor o pružanju fotografskih, videografskih, audiovizualnih, produkcijskih, postprodukcijskih i drugih povezanih usluga vizualnog sadržaja sklopljen između PETAR SANTINI PRODUCTIONS, OBRT ZA USLUGE SNIMANJA, VL. PETAR SANTINI, ZAGREB, ULICA FRANA VRBANIĆA 37, OIB: 80930622681, kao pružatelja usluge (dalje u tekstu: Pružatelj usluge) i naručitelja usluge, kao klijenta (dalje u tekstu: Klijent). Santini Events je brend pod kojim Pružatelj usluge može nuditi i pružati Usluge te ne predstavlja zasebnu pravnu osobu.

Klijent može biti svaka pravna ili fizička osoba, punoljetna i poslovno sposobna osoba.

Fotografiranje predstavlja svaku uslugu čiji je produkt fotografija ili drugi grafički prikaz, u digitalnom ili bilo kojem drugom obliku. Video snimanje i audiovizualna produkcija predstavljaju svaku uslugu čiji je produkt video ili audiovizualna snimka odnosno djelo, u digitalnom ili bilo kojem drugom obliku. Usluge mogu obuhvaćati i pripremu, produkciju, postprodukciju, odabir, obradu, montažu, izvoz, isporuku i druge povezane usluge vizualnog sadržaja.

Svaka takva usluga koju Pružatelj usluge izvršava za Klijenta (dalje u tekstu: Usluga) podložna je ovim Općim uvjetima, u onom obliku i sadržaju koji je na snazi u trenutku sklapanja Ugovora. Klijent prihvatom ponude u cijelosti prihvaća ove Opće uvjete kao svoja ugovorna prava i obveze. Ponuda Pružatelja usluge i ovi Opći uvjeti zajedno čine Ugovor, osim ako je izričito drukčije ugovoreno.

Pružatelj usluge i Klijent svoj ugovorni odnos mogu suglasno urediti i na drugačiji način, odnosno moguće je odstupanje od nekog od ovdje navedenih uvjeta ili pravila, ali svako odstupanje nužno je dogovoriti u pisanom obliku. U slučaju nesuglasja između prihvaćene ponude i ovih Općih uvjeta, prednost ima prihvaćena ponuda.

SKLAPANJE UGOVORA

Sve navedeno na web stranici, uključujući svaki obrazac za rezervaciju ili upit, predstavlja poziv za traženjem ponude za željenu Uslugu. Slanje obrasca ili upita nije potvrđena rezervacija termina niti obvezuje Pružatelja usluge.

Klijent je dužan ponudu prihvatiti u pisanom obliku. Ugovor o pružanju Usluga između Klijenta i Pružatelja usluge (dalje u tekstu: Ugovor) stupa na snagu i obvezuje od trenutka kada Klijent pisano prihvati ponudu, pod uvjetom da, ako ponuda zahtijeva predujam ili drugo plaćanje kao uvjet potvrde termina, takvo plaćanje bude izvršeno u roku navedenom u ponudi ili računu.

Iznos, dospijeće i uvjeti predujma ili drugog plaćanja određuju se ponudom i/ili računom. Ako Klijent ne izvrši plaćanje koje je određeno kao uvjet potvrde u navedenom roku, Pružatelj usluge nije obvezan čuvati termin, a ponuda može prestati biti obvezujuća. Plaćeni predujam uračunava se u Naknadu.

PISANI OBLIK UGOVORA

Ugovor između Pružatelja usluge i Klijenta, da bi bio valjan, mora biti sklopljen u pisanom obliku, a isto se odnosi i na sve izmjene ili dopune Ugovora.

Pod pisanim oblikom smatraju se svi oblici komuniciranja koji omogućuju da se nedvojbeno utvrdi sadržaj volje Klijenta i Pružatelja usluge, poput elektroničke komunikacije (email), WhatsApp poruke i slične elektroničke komunikacije.

NAKNADA, TROŠKOVI I PREKOVREMENI RAD

Naknada je novčana protuvrijednost koju je Klijent dužan platiti Pružatelju usluge na ime pružene Usluge (dalje u tekstu: Naknada). Rokovi i način plaćanja uređuju se prihvaćenom ponudom i/ili računom.

Pored Naknade, Klijent snosi troškove putovanja, smještaja, parkiranja, cestarina, letova, najma opreme, dozvola, vanjskih suradnika i druge projektne ili produkcijske troškove samo ako su navedeni u ponudi ili ih je Klijent naknadno pisano odobrio.

Rad izvan ugovorenog vremena naplaćuje se prema stopi navedenoj u ponudi. Ako stopa nije navedena, dodatno se vrijeme naplaćuje razmjerno ugovorenoj Naknadi i trajanju Usluge, uz eventualne dodatne stvarne troškove. Kašnjenja Klijenta, sudionika, lokacije ili drugih osoba za koje je odgovoran Klijent ne produljuju automatski rezervirano vrijeme.

PROMJENA TERMINA I RASKID UGOVORA

Promjena termina pružanja Usluge na zahtjev Klijenta moguća je na temelju uzajamne pisane suglasnosti i ovisi o raspoloživosti Pružatelja usluge i njegovih suradnika. Ako suglasje nije postignuto, smatrat će se da je Klijent raskinuo Ugovor. Dogovoreni prijenos već plaćenih iznosa na novi termin ne utječe na obvezu Klijenta da podmiri već nastale ili ugovorene nepovratne troškove.

U slučaju da Klijent raskine Ugovor, ovisno o tome koliko dana prije zakazanog termina pružanja Usluge je Ugovor raskinut, Pružatelj usluge ima pravo na sljedeći dio Naknade: (a) 15% ako Klijent otkaže 30 ili više dana prije termina; (b) 30% ako Klijent otkaže od 29 do 8 dana prije termina; (c) 50% ako Klijent otkaže 7 ili manje dana prije termina.

Uz navedeni iznos Klijent je dužan nadoknaditi sve već nastale, naručene ili ugovorene nepovratne troškove povezane s projektom, uključujući putovanje, smještaj, angažman ekipe ili suradnika, najam opreme ili prostora, dozvole i druge projektne troškove. Već plaćeni iznosi uračunavaju se u obvezu Klijenta; eventualni višak vraća se, a manjak dospijeva na plaćanje.

Ako Pružatelj usluge zbog bolesti, nesreće, više sile ili drugog razloga izvan njegove razumne kontrole nije u mogućnosti pružiti Uslugu, uložit će razumne napore da osigura odgovarajuće kvalificiranog zamjenskog fotografa, videografa ili drugog suradnika, ali u iznimnim okolnostima ne jamči da će zamjena biti dostupna. Ako izvršenje Usluge postane nemoguće i zamjena nije dostupna ili je Klijent razumno ne prihvati, Pružatelj usluge vratit će iznose plaćene za dio Usluge koji nije moguće izvršiti.

ROK I MJESTO IZVRŠENJA USLUGE

Klijent i Pružatelj usluge dogovorit će datum i mjesto izvršenja Usluge te rok isporuke, prvenstveno u ponudi. Rok isporuke je rok naveden u prihvaćenoj ponudi; ne primjenjuje se minimalni rok od 15 dana.

Klijent je odgovoran osigurati točan raspored, pravodoban pristup osobama, prostorima i lokacijama te uvjete potrebne za izvršenje Usluge. Ako Klijent ili osobe za koje odgovara kasne, Pružatelj usluge ovlašten je umanjiti ugovoreno trajanje Usluge za trajanje kašnjenja. Pružatelj usluge nije odgovoran za gubitak vremena, sadržaja, pogodne svjetlosti ili prilika za snimanje koji su posljedica takvog kašnjenja, niti kašnjenje automatski produljuje rezervirano vrijeme.

Kašnjenje Klijenta s informacijama, materijalima, odobrenjima ili povratnim informacijama zaustavlja tijek ugovorenih rokova. Novi rok određuje se u skladu s raspoloživošću Pružatelja usluge nakon što Klijent ispuni svoju obvezu.

AUTORSKO PRAVO I OSTALA PRAVA INTELEKTUALNOG VLASNIŠTVA

Sva autorska djela koja Pružatelj usluge ili njegovi suradnici stvore kao rezultat Usluga za Klijenta, ako udovoljavaju zakonskim pretpostavkama za nastanak autorskog djela, kao što su, primjerice, ali ne ograničavajući se na fotografije, video ili druga audiovizualna djela, grafičke prikaze i montaže, neovisno o obliku ili mediju (dalje u tekstu: Autorsko djelo), pripadaju njihovim autorima odnosno nositeljima prava sukladno primjenjivom pravu i ugovornim odnosima. Pružatelj usluge zadržava sva prava koja Ugovorom nisu izričito ustupljena Klijentu.

Opseg prava korištenja (licence) određuje se prvenstveno prihvaćenom ponudom, osobito u pogledu teritorija, trajanja, medija ili komunikacijskog kanala i svrhe korištenja. Ponudom se, kada je tako navedeno, može ugovoriti široka licenca za uobičajeno korporativno, događajno, PR, interno, sponzorsko, internetsko i društveno-medijsko korištenje.

Ako ponuda ne određuje opseg licence, Pružatelj usluge osniva za Klijenta neisključivu i neprenosivu licencu, bez prava podlicenciranja, ograničenu na svrhu za koju je Usluga naručena i koju je Klijent razumno priopćio Pružatelju usluge prije sklapanja Ugovora. Svako korištenje izvan ugovorenog opsega zahtijeva prethodno pisano odobrenje Pružatelja usluge i može biti predmet dodatne licencne naknade.

Klijent je obvezan poštivati moralna prava autora. Klijent nema pravo izmijeniti, doraditi, obraditi ili preraditi Autorsko djelo izvan tehničkih prilagodbi razumno potrebnih za ugovorenu upotrebu bez prethodnog pisanog pristanka Pružatelja usluge.

OSNIVANJE PRAVA ISKORIŠTAVANJA (LICENCA)

Pravo iskorištavanja (licenca) stupa na snagu tek nakon što Klijent isplati Naknadu u cijelosti, osim ako je u prihvaćenoj ponudi izričito drukčije dogovoreno. Svako korištenje Autorskog djela prije toga smatra se neovlaštenim.

Pružatelj usluge ima pravo zadržati sve isporučive foto, video i druge materijale nastale kao rezultat Usluge dok Klijent ne izvrši dospjelo plaćanje u cijelosti.

PORTFELJ, SAMOPROMOCIJA, POVJERLJIVOST I EMBARGO

Pružatelj usluge ovlašten je koristiti završna Autorska djela u svom portfelju, na svojoj web stranici, društvenim mrežama, u natječajima, prezentacijama i drugim oblicima samopromocije, osim ako je Ugovorom dogovorena povjerljivost, embargo ili posebna pisana zabrana odnosno ograničenje ili ako takvo korištenje ne bi bilo dopušteno primjenjivim pravilima zaštite osobnih podataka ili drugim propisima.

Svaka strana čuvat će kao povjerljive nejavne poslovne, produkcijske, tehničke i druge informacije druge strane do kojih dođe u vezi s Uslugom. Pružatelj usluge može povjerljive informacije učiniti dostupnima svojim fotografima, videografima, asistentima, urednicima i drugim suradnicima kojima su potrebne radi izvršenja Usluge, uz obvezu odgovarajuće povjerljivosti.

KREATIVNA KONTROLA, REVIZIJE I DODATNI RAD

Klijent Pružatelju usluge daje ovlaštenje za snimanje, fotografiranje, odabir, uređivanje, obradu, montažu i isporuku materijala u stilu i metodom Pružatelja usluge, u skladu s prihvaćenom ponudom, dogovorenim briefom i razumnim profesionalnim standardima. Pružatelj usluge zadržava kreativnu i uredničku kontrolu nad odabirom i obradom, osim ako je pisano drukčije dogovoreno.

Broj krugova revizija određuje se ponudom. Ako ponuda o tome šuti, uključen je jedan razuman krug revizija samo za one vrste naručenog rada kod kojih su revizije po svojoj naravi sastavni dio isporuke. Revizija ne uključuje promjenu prethodno prihvaćenog briefa, ponovno snimanje, nove koncepte ili dodatne verzije.

Klijent je dužan dostaviti objedinjene, jasne povratne informacije u jednom dogovorenom kanalu i roku. Dodatni krugovi revizija, proturječne ili naknadne upute, promjena briefa, dodatne verzije, formati, jezici, izvozi, ponovna obrada, ažuriranje ili drugi rad nakon dovršetka naplaćuju se kao dodatna usluga i podliježu raspoloživosti Pružatelja usluge.

Hitni rokovi podliježu raspoloživosti i mogu biti predmet prioritetne naknade, ako je tako navedeno u ponudi ili naknadno pisano dogovoreno.

MIROVANJE, ZATVARANJE I PONOVNO OTVARANJE PROJEKTA

Ako Klijent ne dostavi potrebne informacije, materijale, odobrenja ili povratne informacije 30 dana, projekt se smatra u mirovanju, a svi rokovi ostaju zaustavljeni. Nakon 90 dana neaktivnosti Klijenta Pružatelj usluge može zatvoriti aktivnu produkciju, ispostaviti račun za izvršeni rad, rezervirane resurse i dospjele troškove te arhivirati projekt.

Ponovno otvaranje projekta nakon zatvaranja podliježe raspoloživosti Pružatelja usluge i može se dodatno naplatiti. Pružatelj usluge ne jamči da će suradnici, projektne datoteke, softver ili drugi resursi biti dostupni u istom obliku.

ISPORUKA, IZVORNI MATERIJALI I ČUVANJE

Isporuka se vrši u digitalnom obliku korištenjem dostupne online usluge za dijeljenje sadržaja/datoteka ili na drugi način naveden u ponudi.

RAW fotografije, nemontirane video ili audio snimke, projektne, radne i izvorne datoteke te drugi međumaterijali nisu dio isporuke, osim ako je to izričito navedeno u prihvaćenoj ponudi ili naknadno pisano dogovoreno.

Pružatelj usluge općenito čuva isporučene i radne materijale najmanje šest mjeseci nakon završne isporuke, ali ne preuzima obvezu trajnog arhiviranja niti jamči oporavak materijala nakon tog razdoblja. Klijent je odgovoran pravodobno preuzeti isporuku i izraditi vlastite sigurnosne kopije.

TREĆE OSOBE, DOZVOLE I ZAŠTITA OSOBNIH PODATAKA

Ako u pružanju Usluge na zahtjev Klijenta sudjeluju druge osobe ili se snima tuđa pokretna ili nepokretna imovina, Klijent je odgovoran osigurati da ima odgovarajući pravni temelj, obavijesti, dozvole, suglasnosti i druga odobrenja potrebna na njegovoj strani za naručeno fotografiranje ili snimanje i namjeravanu uporabu, uključujući uređenje odnosa s vlasnicima ili nositeljima prava na lokacijama i imovini.

Klijent je odgovoran za sadržaj uputa koje daje Pružatelju usluge i za zakonitost vlastitog korištenja isporučenih materijala. Pružatelj usluge ostaje odgovoran za obradu osobnih podataka koju provodi za vlastite svrhe i u vlastitom poslovanju, u skladu s primjenjivim propisima i svojom obavijesti ili politikom privatnosti. Ova odredba ne prenosi na Klijenta odgovornost koju prema prisilnim propisima mora snositi Pružatelj usluge.

OSTALE OBVEZE PRUŽATELJA USLUGE I KLIJENTA

Pružatelj usluge obvezuje se Uslugu izvršiti profesionalno i u skladu s pravilima struke. Zbog odstupanja u kvaliteti monitora, softveru, platformama i postavkama prikaza, isporučeni materijal može izgledati drugačije na uređajima Klijenta, za što Pružatelj usluge ne snosi odgovornost.

Usluge može osobno pružati Petar Santini i/ili odgovarajuće kvalificirani fotografi, videografi, asistenti, urednici, montažeri ili drugi suradnici koje odabere Pružatelj usluge. Pružatelj usluge odgovara Klijentu za uredno izvršenje Usluge neovisno o angažiranju suradnika, u granicama Ugovora i primjenjivog prava.

Ako se Usluga izvršava na lokaciji ili u objektu koji je odabrao Klijent, Klijent je odgovoran osigurati pravodoban i siguran pristup, raspored, dostupnost osoba i prostora te sva potrebna odobrenja i dozvole.

OGRANIČENJE ODGOVORNOSTI

U najvećem opsegu dopuštenom prisilnim propisima, ukupna ugovorna i izvanugovorna odgovornost Pružatelja usluge koja proizlazi iz pojedinog Ugovora ili je s njime povezana ograničena je na iznos Naknade plaćene ili plative za onu Uslugu iz koje zahtjev proizlazi. Pružatelj usluge ne odgovara za neizravnu ili posljedičnu štetu, gubitak dobiti, prihoda, poslovne prilike, ugleda ili podataka.

Navedena ograničenja ne primjenjuju se u mjeri u kojoj se odgovornost prema primjenjivom prisilnom pravu ne može isključiti ili ograničiti, osobito za namjeru ili krajnju nepažnju te druga prava koja se ne mogu valjano ograničiti. Ako je izvršenje dijela Usluge nemoguće, povrat iznosa koji se može pripisati neizvršivom dijelu Usluge ne utječe na obvezu plaćanja uredno izvršenog dijela i nepovratnih odobrenih troškova.

WEB STRANICA

Sadržaj, fotografije, videozapisi i drugi materijali korišteni na web stranicama pod kontrolom Pružatelja usluge zaštićeni su pravima intelektualnog vlasništva Pružatelja usluge ili odgovarajućih nositelja prava. Nijedan sadržaj ne smije se kopirati, umnožavati, preuzimati ili koristiti bez izričitog pisanog dopuštenja odgovarajućeg nositelja prava, osim ako je takvo korištenje dopušteno zakonom.

RJEŠAVANJE SPOROVA I MJERODAVNO PRAVO

Ugovorne strane sve sporove proizašle iz ili u vezi s Ugovorom obvezuju se prvo pokušati riješiti sporazumno. Ako u tome ne uspiju, za spor će biti stvarno nadležan sud u Zagrebu, Republika Hrvatska, a mjerodavno pravo bit će pravo Republike Hrvatske.

JEZIK

Ovi Opći uvjeti sastavljeni su na hrvatskom i engleskom jeziku. U slučaju nesuglasja između hrvatske i engleske verzije, hrvatska verzija bit će mjerodavna.

OBRADA OSOBNIH PODATAKA KLIJENTA

U svrhu pripreme i slanja ponude, sklapanja i izvršenja Ugovora, naplate, komunikacije i pružanja Usluga Pružatelj usluge može prikupljati i obrađivati podatke Klijenta, uključujući ime i prezime, naziv pravne osobe, adresu, OIB, email, telefonski broj i druge potrebne kontaktne ili ugovorne podatke, u skladu s primjenjivim propisima i vlastitom obavijesti ili politikom privatnosti.

ZAVRŠNE ODREDBE

Pružatelj usluge ima pravo izmijeniti ove Opće uvjete u bilo koje doba. Na pojedini Ugovor primjenjuje se verzija Općih uvjeta koja je bila na snazi kada je Ugovor sklopljen, osim ako ugovorne strane pisano dogovore primjenu kasnije verzije.

INTRODUCTORY PROVISIONS

These general terms and conditions (hereinafter: the General Terms) apply to the contract for the provision of photography, videography, audiovisual, visual-content production, post-production and other related services concluded between PETAR SANTINI PRODUCTIONS, OBRT ZA USLUGE SNIMANJA, VL. PETAR SANTINI, ZAGREB, ULICA FRANA VRBANIĆA 37, PIN: HR80930622681, as the service provider (hereinafter: the Service Provider) and the service customer, as the client (hereinafter: the Client). Santini Events is a brand under which the Service Provider may offer and provide Services and is not a separate legal entity.

The Client may be any legal or natural person with full legal capacity.

Photography means any service whose product is a photograph or other graphic depiction, in digital or any other form. Videography and audiovisual production mean any service whose product is a video or audiovisual recording or work, in digital or any other form. Services may also include preparation, production, post-production, selection, editing, assembly, exports, delivery and other related visual-content services.

Each such service performed by the Service Provider for the Client (hereinafter: the Service) is subject to these General Terms in the form and content in force when the Contract is concluded. By accepting an offer, the Client fully accepts these General Terms as its contractual rights and obligations. The Service Provider’s offer and these General Terms together constitute the Contract unless expressly agreed otherwise.

The Service Provider and the Client may mutually regulate their contractual relationship differently, meaning that deviations from these General Terms are permitted, but each deviation must be agreed in writing. If the accepted offer conflicts with these General Terms, the accepted offer shall prevail.

CONTRACT CONCLUSION

Everything stated on the website, including any booking or enquiry form, is an invitation to request an offer for the desired Service. Submission of a form or enquiry is not a confirmed booking and does not bind the Service Provider.

The Client must accept the offer in writing. The contract for the provision of Services between the Client and the Service Provider (hereinafter: the Contract) becomes effective and binding when the Client accepts the offer in writing, provided that, where the offer requires an advance or other payment as a condition for confirming the date, that payment is made within the period stated in the offer or invoice.

The amount, due date and terms of any advance or other payment are governed by the offer and/or invoice. If the Client fails to make a payment specified as a condition of confirmation within that period, the Service Provider need not hold the date and the offer may cease to be binding. Any advance paid is credited against the Fee.

WRITTEN FORM OF THE CONTRACT

To be valid, the Contract between the Service Provider and the Client must be concluded in writing; the same applies to all amendments or additions to the Contract.

Written form includes all forms of communication that allow the content of the Client’s and the Service Provider’s intentions to be determined unequivocally, including electronic communication (email), WhatsApp messages and similar electronic communications.

FEE, EXPENSES AND OVERTIME

The fee is the monetary compensation that the Client must pay to the Service Provider for the Service (hereinafter: the Fee). Payment dates and terms are governed by the accepted offer and/or invoice.

In addition to the Fee, the Client bears travel, accommodation, parking, toll, flight, equipment or venue rental, permit, external crew and other project or production expenses only if stated in the offer or subsequently approved by the Client in writing.

Work beyond the agreed time is charged at the rate stated in the offer. If no rate is stated, additional time is charged proportionally by reference to the agreed Fee and duration of the Service, together with any additional actual expenses. Delays by the Client, participants, venue or others for whom the Client is responsible do not automatically extend the booked time.

CHANGE OF DATE AND CONTRACT TERMINATION

A change to the scheduled Service date at the Client’s request is possible by mutual written agreement and is subject to the availability of the Service Provider and its collaborators. If agreement is not reached, the Client is deemed to have terminated the Contract. Any agreed transfer of amounts already paid to a new date does not affect the Client’s obligation to pay committed non-refundable expenses already incurred.

If the Client terminates the Contract, the Service Provider is entitled to the following portion of the Fee, depending on when termination occurs: (a) 15% if the Client cancels 30 or more days before the Service date; (b) 30% if the Client cancels between 29 and 8 days before the Service date; (c) 50% if the Client cancels 7 or fewer days before the Service date.

In addition, the Client must reimburse all project-related non-refundable expenses already incurred, ordered or committed, including travel, accommodation, crew or collaborator commitments, equipment or venue rentals, permits and other project expenses. Amounts already paid are credited against the Client’s obligation; any excess is refunded and any shortfall becomes payable.

If the Service Provider is unable to provide the Service due to illness, accident, force majeure or another reason beyond its reasonable control, it shall use reasonable efforts to arrange a suitably qualified replacement photographer, videographer or other collaborator, but does not guarantee that a replacement will be available in exceptional circumstances. If performance becomes impossible and a replacement is unavailable or reasonably unacceptable to the Client, the Service Provider shall refund amounts paid for the part of the Service that cannot be delivered.

DEADLINE AND LOCATION FOR SERVICE EXECUTION

The Client and the Service Provider shall agree on the date and location for performance and the delivery deadline, primarily in the offer. The delivery deadline is the deadline stated in the accepted offer; no minimum 15-day delivery period applies.

The Client is responsible for ensuring an accurate schedule, timely access to people, premises and locations, and the conditions required to perform the Service. If the Client or persons for whom it is responsible are late, the Service Provider may reduce the agreed duration of the Service by the length of the delay. The Service Provider is not responsible for loss of time, content, suitable light or recording opportunities resulting from such delay, and delay does not automatically extend the booked time.

Any Client delay in providing information, materials, approvals or feedback pauses the agreed timelines. A revised deadline shall be determined according to the Service Provider’s availability after the Client fulfils its obligation.

COPYRIGHT AND OTHER INTELLECTUAL PROPERTY RIGHTS

All works created by the Service Provider or its collaborators as a result of the Services for the Client, where they meet the legal requirements for copyright protection, including but not limited to photographs, video or other audiovisual works, graphic depictions and edits, regardless of form or medium (hereinafter: the Work), belong to their authors or rightsholders in accordance with applicable law and contractual arrangements. The Service Provider retains all rights not expressly granted to the Client under the Contract.

The scope of the right to use the Work (licence) is governed first by the accepted offer, particularly as to territory, duration, media or communication channel, and purpose. Where specified, the offer may grant a broad licence for ordinary corporate, event, PR, internal, sponsor, website and social-media use.

If the offer does not define the licence scope, the Service Provider grants the Client a non-exclusive, non-transferable licence, without the right to sublicense, limited to the purpose for which the Service was commissioned and which the Client reasonably communicated to the Service Provider before the Contract was concluded. Any use outside the agreed scope requires the Service Provider’s prior written approval and may carry an additional licence fee.

The Client must respect the authors’ moral rights. The Client may not modify, alter, edit or adapt the Work beyond technical adjustments reasonably required for the agreed use without the Service Provider’s prior written consent.

ESTABLISHMENT OF THE RIGHT TO USE (LICENCE)

The right to use the Work (licence) becomes effective only after the Client has paid the Fee in full, unless expressly agreed otherwise in the accepted offer. Any use of the Work before that time is unauthorised.

The Service Provider may withhold all deliverable photographic, video and other materials produced as a result of the Service until the Client has made all due payments in full.

PORTFOLIO, SELF-PROMOTION, CONFIDENTIALITY AND EMBARGO

The Service Provider may use final Works in its portfolio, on its website and social media, in competitions, presentations and other self-promotion unless the Contract provides for confidentiality, an embargo or a specific written restriction or prohibition, or such use would not be permitted under applicable personal-data rules or other law.

Each party shall keep confidential the other party’s non-public business, production, technical and other information obtained in connection with the Service. The Service Provider may disclose confidential information to its photographers, videographers, assistants, editors and other collaborators who need it to perform the Service, subject to appropriate confidentiality obligations.

CREATIVE CONTROL, REVISIONS AND ADDITIONAL WORK

The Client authorises the Service Provider to record, photograph, select, edit, process, assemble and deliver materials in the Service Provider’s style and method, in accordance with the accepted offer, agreed brief and reasonable professional standards. The Service Provider retains creative and editorial control over selection and editing unless otherwise agreed in writing.

The number of revision rounds is governed by the offer. If the offer is silent, one reasonable revision round is included only for commissioned work in which revisions are inherently part of the delivery. A revision does not include a change to the previously accepted brief, reshoots, new concepts or additional versions.

The Client must provide consolidated, clear feedback through one agreed channel and within the agreed time. Further revision rounds, conflicting or later instructions, changes of brief, additional versions, formats, languages or exports, re-edits, updates or other work after completion are charged as additional services and are subject to the Service Provider’s availability.

Urgent turnaround is subject to availability and may carry a priority fee where stated in the offer or subsequently agreed in writing.

PROJECT PAUSE, CLOSURE AND REOPENING

If the Client does not provide required information, materials, approvals or feedback for 30 days, the project is deemed paused and all timelines remain suspended. After 90 days of Client inactivity, the Service Provider may close active production, invoice work performed, reserved resources and due expenses, and archive the project.

Reopening a closed project is subject to the Service Provider’s availability and may incur an additional fee. The Service Provider does not guarantee that collaborators, project files, software or other resources will remain available in the same form.

DELIVERY, SOURCE MATERIALS AND RETENTION

Delivery is made digitally using an available online content/file-sharing service or by another method stated in the offer.

RAW photographs, unedited video or audio footage, project, working and source files, and other intermediate materials are excluded from delivery unless expressly included in the accepted offer or subsequently agreed in writing.

The Service Provider generally retains delivered and working materials for at least six months after final delivery, but undertakes no permanent archiving obligation and does not guarantee recovery after that period. The Client is responsible for timely download and its own backups.

THIRD PARTIES, PERMISSIONS AND PERSONAL DATA

Where other persons participate in the Service at the Client’s request, or third-party movable or immovable property is recorded, the Client is responsible for ensuring that it has the appropriate legal basis, notices, permissions, consents and other approvals required on its side for the commissioned photography or recording and intended use, including arrangements with owners or rightsholders of locations and property.

The Client is responsible for the content of its instructions to the Service Provider and the lawfulness of its own use of delivered materials. The Service Provider remains responsible for personal-data processing it undertakes for its own purposes and in its own operations, in accordance with applicable law and its privacy notice or policy. This clause does not transfer to the Client any responsibility that mandatory law places on the Service Provider.

OTHER OBLIGATIONS OF THE SERVICE PROVIDER AND CLIENT

The Service Provider undertakes to perform the Service professionally and in accordance with industry standards. Due to variations in monitor quality, software, platforms and display settings, delivered material may appear different on the Client’s devices, for which the Service Provider is not responsible.

Services may be performed by Petar Santini personally and/or by suitably qualified photographers, videographers, assistants, editors or other collaborators selected by the Service Provider. Subject to the Contract and applicable law, the Service Provider remains responsible to the Client for proper performance regardless of its use of collaborators.

If the Service is performed at a location or premises selected by the Client, the Client is responsible for ensuring timely and safe access, schedules, availability of persons and premises, and all necessary permissions and permits.

LIMITATION OF LIABILITY

To the fullest extent permitted by mandatory law, the Service Provider’s aggregate contractual and non-contractual liability arising out of or connected with an individual Contract is limited to the amount of the Fee paid or payable for the Service giving rise to the claim. The Service Provider is not liable for indirect or consequential loss, or loss of profit, revenue, business opportunity, reputation or data.

These limitations do not apply to the extent liability cannot be excluded or limited under applicable mandatory law, including in particular liability for intent or gross negligence and other rights that cannot validly be limited. If performance of part of the Service is impossible, refunding the amount attributable to the undeliverable part does not affect the obligation to pay for the part properly performed and non-refundable approved expenses.

WEBSITE

Content, photographs, videos and other materials used on websites controlled by the Service Provider are protected by the intellectual-property rights of the Service Provider or relevant rightsholders. No content may be copied, reproduced, downloaded or used without the relevant rightsholder’s explicit written permission, except where permitted by law.

DISPUTE RESOLUTION AND GOVERNING LAW

The contractual parties undertake first to attempt to resolve amicably all disputes arising out of or in connection with the Contract. If they do not succeed, the court with subject-matter jurisdiction in Zagreb, Republic of Croatia, shall have jurisdiction, and the law of the Republic of Croatia shall govern.

LANGUAGE

These General Terms are drafted in Croatian and English. In case of any discrepancy between the Croatian and English versions, the Croatian version shall prevail.

PROCESSING OF THE CLIENT’S PERSONAL DATA

For the purposes of preparing and sending an offer, concluding and performing the Contract, billing, communication and provision of the Services, the Service Provider may collect and process Client data including name and surname, legal-entity name, address, PIN, email, telephone number and other necessary contact or contractual data, in accordance with applicable law and its privacy notice or policy.

FINAL PROVISIONS

The Service Provider reserves the right to amend these General Terms at any time. Each Contract is governed by the version of the General Terms in force when that Contract was concluded, unless the parties agree in writing to apply a later version.
